Terms and Conditions

These Terms and Conditions (“Terms”) form a binding agreement between you (“User,” “you,” or “your”) and Roshsur Enterprise LLC (DBA Udexion), a Florida limited liability company (“Udexion, ” “we,” “us,” or “our”), governing your access to and use of the udexion.com website, mobile applications, and all related adaptive learning content and services (collectively, the “Service”). By creating an account, making a purchase, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

You must be at least 13 years old to create an account or use the Service. The Service is not directed to children under 13, and we do not knowingly collect personal information from them.

If you are 13 or older but under the age of 18, you may only use the Service if you have reviewed these Terms with a parent or legal guardian, and by creating an account and using the Service, you represent that your parent or legal guardian understands these Terms and agrees to them on your behalf. Your parent or legal guardian accepts responsibility for your use of the Service, including any purchases made, and this is confirmed through the parent/guardian email collected as part of your account profile.

Udexion provides original, independently developed exam-preparation content generated from official public source materials (such as state driver handbooks) and is not a reproduction of any actual, current, or recently administered examination questions.

Udexion is not affiliated with, endorsed by, sponsored by, or in any way officially connected with the Florida Department of Highway Safety and Motor Vehicles (FLHSMV), any other state department of motor vehicles, licensing board, or any other government agency. All state names, agency names, and exam references are used solely to describe the subject matter of our preparation content.

You are responsible for maintaining the confidentiality of your account credentials.

You must provide accurate information, including date of birth and state of residence, which is used to route you to correct content and verify eligibility for age-gated features.

You may not share, sell, transfer, or permit any other person to use your account.

We may suspend or terminate accounts that violate these Terms, including accounts used to circumvent content controls or share access.

Prices are stated in U.S. dollars and are displayed at checkout before purchase. We reserve the right to change or add pricing, tier composition, credit card processing fees, and features at any time; changes will not affect purchases already completed. A third-party payment processor processes payment; Udexion does not directly store your full payment card details.

Refund eligibility and all associated conditions are governed by our separate Refund Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Refund Policy on refund-specific matters, the Refund Policy controls.

All course content, adaptive learning logic, assessment questions, explanations, software, graphics, and other materials made available through the Service (collectively, “Content”) are the property of Udexion or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial exam preparation. You may not:

Copy, reproduce, distribute, publicly display, or create derivative works from the Content;

Reverse engineer, scrape, or use automated means to extract questions, explanations, or the adaptive routing logic;

Resell, sublicense, or otherwise make the Content available to third parties;

Use the Content to train, fine-tune, or evaluate any artificial intelligence or machine learning model.

Udexion makes no guarantee, warranty, or representation that use of the Service will result in passing any examination. Examination outcomes depend on factors outside our control, including the user's effort, the administering agency's testing procedures, and changes to exam content.

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law;

Attempt to gain unauthorized access to the Service, other user accounts, or Udexion systems;

Introduce viruses, malware, or other harmful code;

Misrepresent your identity, age, or affiliation;

Submit fraudulent claims under the Exam Pass Guarantee, including falsified or altered proof of examination results.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDEXION, AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO UDEXION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Udexion from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

These Terms, together with the Privacy Policy and Refund Policy incorporated by reference, constitute the entire agreement between you and Udexion regarding the Service and supersede any prior agreements. If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Some states do not allow limitations on how long an implied warranty lasts, or the exclusion or limitation of incidental or consequential damages, so the limitations in Sections 10 and 11 above may not apply to you in full. These sections give you specific legal rights, and you may have other rights that vary by state.

We may modify these Terms from time to time. Material changes will be communicated via the email address on file or a notice on the Service before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us. Termination does not entitle you to a refund except as provided in the Refund Policy.
